Terms of Service

By accessing or using VYVE, you agree to these Terms of Service. If you do not agree, you may not use the platform.

These terms apply to all users, including venue owners, event hosts, DJs, staff members, administrators, and participants who interact with VYVE-powered experiences.

VYVE provides software tools for live events, venue operations, digital displays, tournaments, crowd interaction, QR experiences, scheduling, playlists, and related event technology.

Features may change, expand, or be removed as the platform evolves. We may modify, suspend, or discontinue parts of the service at any time.

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

You agree to provide accurate account, organization, venue, and billing information when using VYVE.

VYVE may suspend or terminate access if we believe an account is being misused, accessed without authorization, or used in violation of these terms.

Some VYVE features require a paid subscription (Core, Pro, or Enterprise, as described on our Pricing page). Pricing, features, and plan limits may vary by customer, venue, or agreement.

From time to time we may offer introductory or promotional pricing, such as a reduced monthly rate for an initial period or a discounted rate for annual billing (each, an “Introductory Rate”), as described on our Pricing page or at checkout. Introductory Rates are billed immediately upon signup unless stated otherwise; they are not free trials.

Rate lock: if you subscribe during a Founders Launch Pricing period, we will not increase the subscription price for your plan for as long as your subscription remains active and in good standing, even if we later change pricing for new customers. This rate lock ends if your subscription is canceled or lapses for non-payment; resuming service, switching plans, or switching billing intervals may be subject to then-current pricing.

Payments are processed through third-party providers such as Stripe. By subscribing, you authorize recurring charges according to the selected plan.

Unless otherwise stated, subscriptions renew automatically until canceled. Failed or overdue payments may result in account restrictions, feature limitations, or suspension.

Refunds, credits, and cancellations may be handled at VYVE’s discretion unless otherwise required by law or stated in a separate written agreement.

You may upload logos, images, videos, branding materials, event content, display scenes, photos, and other assets to VYVE.

You retain ownership of your content, but grant VYVE a limited license to store, process, display, and transmit that content as needed to operate the platform.

Photos processed through Photo Studio features (including Beauty AI and Face FX) are processed using automated facial landmark detection, as described in our Privacy Policy. By using these features, you consent to this processing as part of operating the platform.

You are responsible for ensuring that uploaded content does not violate copyright, trademark, privacy, publicity, or other rights.

Guest content.Photos, shoutouts, and other content that guests submit through a VYVE-powered experience (for example, a venue's photo wall) may be shown on the host venue's screens and on guests' own devices during the event. By submitting guest content, the submitting guest confirms that everyone shown in it has agreed to it being displayed, and grants the host venue and VYVE a non-exclusive, royalty-free, worldwide license to store, reproduce, display, and use that content, including in promotional and marketing materials for VYVE and for the venue, without further notice or compensation. This consent is presented to the guest at the point of submission.

This promotional license applies to guest content submitted on or after September 23, 2026. Guest content submitted before that date is used only to operate the platform unless we obtain separate permission. Anyone who appears in guest content can ask us to stop using it in promotional materials at any time by emailing support@joinvyve.io, and we will remove it within a reasonable time.

VYVE Link is optional, locally-installed software that connects supported third-party DJ software and hardware (such as Rekordbox or Serato DJ Pro) to the VYVE platform.

Compatibility depends on your specific hardware, software versions, and configuration. VYVE does not guarantee compatibility with every setup and is not responsible for the functionality, availability, updates, or behavior of third-party DJ software or hardware that VYVE Link connects to.

You agree not to use VYVE to:

• • Violate any law, regulation, or third-party right
• • Upload malicious, harmful, or illegal content
• • Interfere with platform security or performance
• • Attempt unauthorized access to accounts or systems
• • Abuse QR, SMS, communication, or engagement tools
• • Misrepresent your identity, venue, or organization
• • Use VYVE to harass, exploit, or harm others

VYVE provides tools to help manage live event experiences, but users remain responsible for event operations, venue safety, staff decisions, contest rules, compliance, and guest conduct.

Some VYVE-powered events may be age-restricted. Venues and event hosts are solely responsible for enforcing any applicable age requirements for their own events.

VYVE is not responsible for disputes, injuries, losses, interruptions, or operational issues that occur at physical venues or live events.

Some VYVE-powered events offer CrowdOS Connect, an opt-in feature that lets guests create a temporary, event-specific profile to meet, connect, or match with other attendees at that event. By using Connect, you agree to all of the following, in addition to the rest of these Terms:

• • You must be at least 18 years old to use Connect, and a host may require a higher minimum age for their event. You represent that any age, nickname, bio, photo, and other information you provide through Connect is truthful and actually your own.
• • VYVE does not conduct identity verification, age verification, or background checks on any Connect user, and does not guarantee the accuracy of any profile. You are solely responsible for exercising your own judgment and caution in any interaction, match, or meeting that results from Connect.
• • Any decision to communicate with, meet, or otherwise interact with another guest through Connect — online or in person — is made entirely at your own risk. VYVE is not a party to, and has no responsibility for, the conduct, statements, or actions of any guest you connect with.
• • You agree not to use Connect to harass, stalk, impersonate another person, misrepresent your age or identity, or solicit or share another guest’s personal information without their consent.
• • Blocking or reporting another guest does not guarantee that guest will be removed from the event or platform; VYVE reviews reports at its discretion and may take any action it deems appropriate, including removing a guest’s access to Connect or the event.

To the maximum extent permitted by law, VYVE, Huttenlocher Technologies, and the hosting venue or organization disclaim all liability arising from your use of Connect, including any interaction, meeting, dispute, injury, or loss involving another guest you connected with through the feature. This section supplements, and does not limit, Section 8 (Live Events & Venue Operations) and Section 13 (Limitation of Liability).

VYVE may integrate with third-party services for hosting, authentication, analytics, payments, communications, storage, and other functionality.

Use of third-party services may be subject to their own terms, policies, and service availability.

VYVE, its software, branding, designs, interfaces, features, workflows, and platform technology are owned by Huttenlocher Technologies LLC or its licensors.

You may not copy, reverse engineer, resell, redistribute, or create competing services based on VYVE without written permission.

VYVE is provided on an “as is” and “as available” basis. We do not guarantee uninterrupted service, error-free operation, or that all features will meet every venue’s needs.

You are responsible for maintaining backup plans for live events, displays, competitions, and venue operations.

To the maximum extent permitted by law, VYVE and Huttenlocher Technologies will not be liable for indirect, incidental, special, consequential, lost-profit, business interruption, data loss, or event-related damages, including damages arising from interactions between guests facilitated by CrowdOS Connect or any other guest-to-guest feature.

Our total liability for any claim will be limited to the amount paid to VYVE for the applicable service during the period giving rise to the claim, unless otherwise required by law.

You may stop using VYVE at any time. We may suspend or terminate access if you violate these Terms, fail to pay required fees, misuse the platform, or create risk for VYVE, users, venues, or third parties.

We may update these Terms as the platform evolves. Continued use of VYVE after updated Terms become effective means you accept the revised Terms. Changes to these Terms do not override the rate lock described in Section 4 for subscriptions already active at the time of the change.
